You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using our Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account

For enterprise clients, we are willing to sign Non-Disclosure Agreements (NDAs) to provide additional protection for your confidential information.

While we strive to provide uninterrupted access to our Services, we do not guarantee that the Services will be available at all times. We may suspend or discontinue any part of the Services for maintenance, updates, or other reasons. We are not liable for any interruption or discontinuation of the Services.

10. Limitation of Liability

To the maximum extent permitted by law, VirtuAssist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total liability to you for any claims arising from your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless VirtuAssist, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before filing any legal action, the parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration in accordance with Indian arbitration laws.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely matches the intent of the original provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements you enter into with VirtuAssist, constitute the entire agreement between you and VirtuAssist regarding the Services and supersede all prior agreements and understandings.
